ripplUSA.com is a new Online Social Networking Site that is focused on enhancing people’s lives by building community, sharing content, and collaborating with others. With the concept of “Same Thing, Only Different”, we present a modern range of functionality that is similar to things you may have seen, but with more features.

ripplUSA.com brings new ways of connection and collaboration to whole new level. Members are encouraged to join and interconnect with friends, family, and a variety of Social Groups where you can engage with political candidates, promote charities, etc., and express yourself creatively. The interactive environment provides easily accessible activities and/or tools such as video chat, photos, videos, audio, blogs, classified advertising, personal wall, message “chalk” board, andmuch, much more. Whether you set-up your own individual page, join a group, or join other customized social networks within the ripplUSA.com network, you will be able to get connected with everyone and everything you care about.

With this new innovative approach to Social Networking, if you decide to join a customized social network within our site, you will also need to set-up a personal profile page

within that network. This incredible opportunity allows you to engage in social networks that interest you, as well as having a universal personal profile page within the main site.

This Terms of Use Agreement (“Agreement”) constitutes legally binding terms and applies to YOUR use of the ripplUSA.com website. By accessing and/or using the ripplUSA.com website, you agree to be bound by this Agreement, whether you are a “Visitor” (one that browses the site), or a “Member” (one that is registered on the site). The term “User” refers to both a “Visitor” and a “Member”. The ripplUSA.com website is provided free of charge to you at this time.

You understand that ripplUSA.com does not in any way screen its Members, nor does ripplUSA.com inquire into the backgrounds of its Members or attempt to verify the statements of its Members. ripplUSA.com makes no representations or warranties as to the conduct of Members or their compatibility with any current or future Members. We do however recommend that if you choose to meet or exchange personal information with any member of ripplUSA.com then you should take it upon yourself to do a background check on said person.

Although ripplUSA.com cannot monitor the conduct of its Members off the Website, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, ripplUSA.com reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which ripplUSA.com deems appropriate in its sole discretion.

Your Obligations

1.) ELIGIBILITY and REGISTRATION:

Use of the ripplUSA.com website, and by becoming a “Member”, you represent and warrant the following:

• All registration information that you submit is truthful and accurate, and that you will maintain the accuracy of such information. You also represent and warrant that you own any additional information that you submit, and that you are entitled to submit the information, that the information is accurate, not confidential, and does not violate any third party rights.

• You represent that you are fully able and competent to enter into the terms, conditions, obligations, representations and warranties set forth in these Terms and Use Agreement.

• You acknowledge that you are 13 years of age or older. If you are under the age of 18, you are using the ripplUSA.com website under the supervision of a parent, legal guardian, or other responsible adult. CHILDREN UNDER THE AGE OF 13 ARE NOT ALLOWED TO VISIT OR USE THE ripplUSA.com WEBSITE.

• Your use of the ripplUSA.com website does not violate any Applicable Law.

• Your “Membership” may be terminated without warning if we believe that any of the above eligibility guidelines have been violated.

2.) APPLICABLE LAWS AND THIS AGREEMENT:

You must comply with all applicable laws, the Terms and Use Agreement, and Privacy Policy at all times.

All laws shall be governed by and construed in accordance with the laws of the State of Alabama. By registering or entering the ripplUSA.com website, you consent and submit to the exclusive jurisdiction and venue of the state and federal courts located in Mobile, Alabama, without giving effect to its conflict of laws provisions of your actual state or county of residence. If, for any reason, a court of competent jurisdiction finds any portion or provision in these Terms and Use Agreement to be unenforceable, the remainder of the Terms of Use Agreement will continue in full force and effect.

3.) RULES OF CONDUCT:

Required Responsibilities:

• You agree to comply with ALL applicable laws, including, without limitation, privacy laws, intellectual property laws, proprietary and copyright laws.
• You agree to provide accurate information, and keep information current.
• You agree to keep your password secure and confidential, and not allow others to use your account, and you agree to notify ripplUSA.com immediately if you suspect any unauthorized use of your account or access to your password.
• You agree to review and comply with all terms in our Privacy Policy and Terms of Use Agreement.
• You agree to review and comply with all notices sent by ripplUSA.com concerning our services.

Actions that are NOT allowed:

• You agree NOT to Act dishonestly or unprofessionally by engaging in unprofessional behavior by posting inappropriate, inaccurate, or objectionable content to the website.
• You agree NOT to Upload, email, post, transmit, distribute or otherwise publish any material that is unlawful, abusive, threatening, libelous, defamatory, obscene, vulgar, offensive, harassing, hateful, embarrassing, pornographic, profane, sexually explicit, or indecent.
• You agree NOT to Upload, email, post, transmit, distribute or otherwise publish any material that constitutes or encourages conduct that would constitute a criminal offense, potentially violate the local, state, or national laws of any country.
• You agree NOT to Upload, email, post, transmit, distribute or otherwise publish any material that contains in any form software viruses or such programs, including, but not limited to Trojan horses, worms, time bombs, computer codes, files or programs designed to interrupt, destroy or limit the functionality of the ripplUSA.com website.
• You agree NOT to Upload, email, post, transmit, distribute or otherwise publish any material that violates, plagiarizes, or infringes the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity, trade secrets, or any other proprietary rights
• You agree NOT to Disseminate any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of such solicitation.
• You agree NOT to Upload, email, post, transmit, distribute or otherwise publish any material that involves commercial activities and/or sales without prior written consent from ripplUSA.com such as contests, sweepstakes, barter, advertising, or pyramid schemes.
• You agree NOT to reverse engineer, decompile, disassemble, decipher or otherwise attempt to gain unauthorized access to the ripplUSA.com website, other accounts, computer systems or networks connected to the ripplUSA.com website, through password mining or any other means for underlying intellectual property used to provide the ripplUSA.com service, or any part thereof.
• You agree NOT to request, solicit, gather, or otherwise obtain access to email addresses, usernames, passwords, or other authentication credentials from any member of the ripplUSA.com website.
• You agree NOT to cover or obscure any banner advertisements and/or safety features on your personal profile page, or any ripplUSA.com website page.
• You agree NOT to solicit, collect, use or disclose information or access other Users accounts without their consent or for unlawful purposes or in violation of applicable law or regulations.
• You agree NOT to share information of non-Users without their express consent.
• You agree NOT to share or transfer your profile.

IMPORTANT NOTE: We reserve the right to release information to the proper authorities for any violation of our standards or unlawful acts if the information is subpoenaed and/or if we deem it necessary and/or appropriate.

Accessing and Changing Your Account Information

You can review, delete, correct and revise your personal profile, privacy settings, information that you submit and/or publish to ripplUSA.com at any time by logging into your account. Please be aware that even after your request for a change is processed, ripplUSA.com may retain residual information about you in its backup and/or archival copies of its database.

Non Commercial Use by Members

The Website is for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by the management of ripplusa.net/gulfcoast. Illegal and/or unauthorized use of the Website, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website will be investigated. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from member profiles without notice and may result in termination of membership privileges. Appropriate legal action will be taken by ripplusa.net/gulfcoast for any illegal or unauthorized use of the Website.

Customized Content

ripplUSA.com will use information provided to us, or to third parties with whom it offers combined services, in order to customize your experience on our website. For example, when you log into your account, we will display the names of Users who have recently joined your network or recent status updates from your connections.

Member Disputes

You are solely responsible for any interaction with other members or visitors of the ripplUSA.com network. ripplUSA.com reserves the right, but shall have no obligation to monitor disputes between you and any other member of the ripplUSA.com network.

Canceling Membership

Members will always have the option to cancel their membership at any time. If you cancel your membership account, we will remove your name and other personally identifiable information from our publicly viewable database. It is important to note that when you close your account, ripplUSA.com disclaims any liability in relation to the deletion or retention (subject to the terms herein) of information or any obligation not to delete the information.

Termination

ripplUSA.com may immediately, without prior notice, issue a warning, temporarily suspend, indefinitely suspend, or terminate your use of and access to the ripplusa.net website, at our sole discretion, for any reason, with or without cause or warning, and without liability.

No Spam Policy

ripplUSA.com is opposed to spam. We prohibit all Users from engaging in any activity involving spam on our website. Violations may result in immediate termination of service and legal action against any spammer. We prohibit users from uploading, posting, emailing, transmitting or otherwise making available junk mail, commercial advertisements, or other forms of commercial solicitation on the ripplUSA.com website or through our services. Such solicitations or violations may subject the sender and his or her agents to civil and criminal penalties.

PAYMENT FOR SERVICES

Most services on the ripplUSA.com website are FREE to the general public.

If you purchase any services that ripplUSA.com offers for a fee (i.e. custom networks), either on a one-time or continuous basis, you agree to all written terms as outlined in a sales contract, payment for services, and storing of your payment card information. You also agree to pay the applicable fees as they become due, plus all related taxes (if any), and to reimburse us for all collection costs and interest for any overdue amounts. Your obligation to pay for services and/or fees continues through the date that you cancel your service. You may cancel any service that ripplusa.net provides for a fee by submitting a written request. All fees and charges are non-refundable and there are no refunds or credits for partially used periods. You also acknowledge that that you will adhere to all rules in this Terms and Use Agreement, unless otherwise stated in writing by ripplUSA.com.

Members and Users Located Outiside the United

States of America

We control and operate ripplUSA.com from the United States of America. The ripplUSA.com network is not intended to subject us to the laws or jurisdiction of any state, country or territory other than that of the United States. It is important to note that we do not represent or warrant that the ripplUSA.com network is appropriate for use in any particular jurisdiction. Those who choose to access the ripplUSA.com network do so at their own initiative and are responsible for complying with all local laws, rules, and regulations, our Terms and Use Agreement, and our Privacy Policy.

Members and Users located outside of the United States of America should know that to the extent applicable, we attempt to comply with local data protection and consumer rights laws. If you are unsure whether this Terms of Use Agreement and our Privacy Policy are in conflict with the applicable local rules where you are located, you should not submit your personal information to the ripplUSA.com website.

Additionally, Members and Users of the ripplUSA.com website located in countries outside the United States of America who submit personal information do hereby consent to the general use of such information as provided in this Terms and Use Agreement and Privacy Policy and to the transfer of that information to and/or storage of the information in the United States of America.

Proprietary Rights

ripplUSA.com does not claim ownership rights in any materials and/or information that you provide, submit, post, or display. You retain all ownership rights in such materials or information. You continue to retain all ownership rights in such materials and/or information, and you continue to have the right to use your materials and/or information in any way you choose as long as it complies with the terms of this “Agreement”. Additionally, you grant ripplUSA.net, it’s subsidiaries, affiliates, and agents a nonexclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licenseable and transferable right and license to modify, publicly perform, publicly display, reproduce, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use and commercialize, in any way now known or in the future discovered, and information you provide, directly or indirectly to ripplUSA.com, it’s subsidiaries, affiliates, or agents, including, but not limited to any user generated content, ideas, concepts, techniques or data to the services without any further consent, notice and/or compensation to you or to any third parties.

You are solely responsible, represent and warrant that you have all rights in any submission of materials and/or information, and that the posting of materials and/or information does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person and/or company. Furthermore, you agree to pay for all royalties, fees, and any other monies owing any person and/or company by reason of any materials and/or information posted by you to or through the ripplUSA.com website.

ripplUSA.com, it’s subsidiaries, affiliates, and agents own and retain all rights which contain proprietary and confidential information that is protected by applicable intellectual property laws, including with limitation to all text, software, photographs, graphics, page layout, and design presented through and as part of the ripplUSA.com website. Rippl, Inc. is not granting you a license under any intellectual property right to the ripplUSA.com marks. Other trademarks, logos, and trade names that may appear on the ripplUSA.com website are the property of their respective owners.

Copyright Policy

Ripplusa.net respects the intellectual property rights of others and expects our users to do the same. You may not upload, embed, email, post, modify, transmit, distribute, reproduce or otherwise make available in any way any copyright materials, trademarks, patents, trade secrets, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. Our policy is to terminate the accounts of copyright offenders and other users who infringe upon the intellectual property rights of others.

If you believe that your work has been copied in a way that constitutes copyright infringement, please file a Copyright Infringement Notification with us by sending a written communication which should include the following information:

ripplUSA.com may offer services through mobile applications created by it or third parties. If you use the services through a mobile device, you agree that information about your use of the services through your mobile device and carrier may be communicated to us, including, but not limited to your mobile carrier, your mobile device, or your physical location. In addition, use of the services through a mobile device may cause data to be displayed on and through your mobile device. By accessing the services using a mobile device, you represent that to the extent you import any of your ripplUSA.com data to your mobile device that you have authority to share the transferred data with your mobile carrier or other access provider. In the event that you change or deactivate your mobile account, you must promptly update your ripplUSA.com account information to ensure that your messages are not sent to the person that acquires your old number and failure to do so is your responsibility. You acknowledge that you are responsible for all charges and necessary permissions related to accessing ripplusa.net through your mobile access provider.

Notification of Acts Contrary to this “Agreement”

If you believe that you are entitled or obligated to act contrary to this “Agreement” under any mandatory law, you agree to provide us with detailed and substantiated explanations of your reasons in writing at least 30 days before you act contrary to this “Agreement”. The information you provide to us will allow us to assess whether we may, at our sole discretion, provide an alternative remedy for the situation, through we are under no obligation to do so, nor are we under any obligation to accept your membership.

Changes to ripplUSA.com and the Terms of Use Agreement

ripplUSA.com reserves the right, at our sole discretion to change, modify, add, or delete portions of these Terms of Use Agreement at any time without further notice. Such modifications shall be effective upon posting on the ripplUSA.com website. Your continued use of the ripplUSA.com website following any such modifications constitutes your agreement to be bound by and your acceptance of the Agreement as so modified. The “Effective Date” of these Terms and Use Agreement are posted at the beginning of this “Agreement”. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOU SHALL STOP USING THE ripplUSA.com WEBSITE.
